Welcome to ShopShield.com, operated by ShopShield, LLC ("ShopShield," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, applications, APIs, and subscription services (collectively, the "Service"). By using the Service, you agree to these Terms and our Privacy Policy and Data Processing Agreement. If you do not agree, do not use the Service.
1. Overview of the Service
ShopShield provides automated monitoring of publicly available website policies, terms of service, and related documents. The Service detects changes, summarizes differences, and notifies subscribers via email or dashboard. We do not represent or act on behalf of any third-party platform that is monitored (e.g., Etsy, Shopify, Amazon, etc.).
2. Eligibility
You must:
- Be at least 18 years old and able to form a binding contract; and
- Use the Service only for lawful purposes and in compliance with these Terms.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts
To access certain features, you must create an account and provide accurate, current information. You are responsible for maintaining confidentiality of your login credentials and for all activity under your account. You must promptly notify us of any unauthorized access or security issue.
4. Subscriptions and Billing
Plans: Subscription tiers and pricing are listed on our website.
Payments: Handled securely through Stripe Inc. Recurring charges continue until canceled.
Cancellations: You may cancel anytime from your account dashboard. Cancellations take effect at the end of the current billing cycle.
Refunds: Fees are non-refundable except where required by law.
Taxes: You are responsible for any applicable taxes, duties, or governmental fees.
5. Use of the Service
You agree not to:
- Use the Service to scrape or store personal data beyond lawful purposes.
- Access or monitor websites in violation of those websites' terms or robots.txt directives.
- Reverse engineer, decompile, or otherwise misuse any portion of the Service.
- Use the Service to create or distribute false or misleading content.
You retain ownership of your data. We act as processor of that data under our Data Processing Agreement.
6. Data Sources and Accuracy
ShopShield relies on publicly available web pages that may change, redirect, or become unavailable. We make no warranty that monitored sources are complete or accurate. Summaries and notifications are informational only and not legal advice. You are responsible for reviewing original source material and for your own compliance decisions.
7. Intellectual Property
All platform code, designs, databases, and compilations are owned or licensed by ShopShield and protected by copyright, trademark, and other laws. You may access the Service solely for your internal business use. You may not reproduce or distribute our materials without written consent.
8. User Content
If you submit content (e.g., comments, support requests, feedback), you grant us a worldwide, royalty-free, sublicensable license to use that content to operate and improve the Service. You must not upload unlawful or infringing material.
9. Privacy and Data Protection
We collect and process data as described in our Privacy Policy and governed by our Data Processing Agreement. By using the Service, you consent to such processing.
10. Third-Party Services
The Service may integrate with third-party systems such as Make.com, Lovable.dev, AWS, SendGrid, and Stripe. Your use of those integrations is subject to each provider's own terms. We are not responsible for their acts or omissions.
11. Service Availability
We aim for continuous operation but do not guarantee uninterrupted access. Scheduled maintenance or unforeseen downtime may occur. We may modify, suspend, or discontinue any feature without liability, provided we give reasonable notice where possible.
12. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law:
- We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that results, summaries, or alerts are error-free or legally sufficient.
13. Limitation of Liability
To the fullest extent permitted by law:
- ShopShield and its officers, employees, and affiliates shall not be liable for indirect, incidental, or consequential damages (including lost profits, data, or goodwill) arising from or related to use of the Service.
- Our total aggregate liability for any claim shall not exceed the greater of USD $100 or the total fees you paid to us in the preceding three months.
14. Indemnification
You agree to indemnify and hold harmless ShopShield, its affiliates, and personnel from any claims, damages, or expenses (including legal fees) arising from your misuse of the Service, violation of these Terms, or infringement of any third-party rights.
15. Termination
We may suspend or terminate your access if:
- You breach these Terms;
- Required by law or platform policies; or
- We cease offering the Service.
Upon termination, your right to access the Service ends immediately, and we may delete associated data after a reasonable period per our retention policy.
16. Changes to Terms
We may revise these Terms from time to time. The updated version will be posted with a new "Last Updated" date. Continued use after publication constitutes acceptance of the changes.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Montana, excluding its conflict-of-law rules. All disputes shall be resolved exclusively in the state or federal courts located in Montana.
